General Terms and Conditions of Business

Conclusion of contracts

Solely the following terms and conditions apply as legally binding and recognized by the buyer to all offers and contracts concluded, while rejecting all contrary provisions:

 

Deliveries

Deliveries are made ex works or warehouse at the recipient’s expense and risk.

 

Delivery deadline

Deliveries are normally made ex warehouse within 8 – 10 days. For articles manufactured partially or wholly by subcontractors we can only assume a guarantee for compliance with delivery deadlines within the framework of punctual delivery by such subcontractors.

 

Rescission

If delivery is not possible within the normal period, notification indicating the expected delivery deadline shall be given within 10 days. The buyer is then free to rescind the contract to purchase the article concerned via written notice.

 

Warranty

We grant a warranty for flawless quality. Use and application of the item have to comply with our instructions for use and in special cases with our specially drawn up manual. Provided this requirement is met, we guarantee flawless function.

If justified, complaints of any kind shall only be taken into consideration provided they have been submitted within 8 days after delivery.

 

Payment

Payments shall be made with a 2% cash discount within 10 days or without any deduction within 30 days from the invoice date or as per arrangement. Payments shall be made on one of our accounts without exception.

 

Reservation of ownership

The delivered items remain our property until complete payment.

 

Data storage

We have the right to store and process data concerning merchandise movements and payment transactions with the buyer to the extent necessary for business reasons.

 

Place of jurisdiction

The place of jurisdiction and performance is Hilden/Düsseldorf. The laws of the Federal Republic of Germany apply.
